Legal advice on demergers and company restructuring
If your business operates two or more divisions within one company or trades from more than one location and you wanted to sell part of your business now or in the future, it may be necessary to undertake a demerger to clear the path for a sale to separate the business into different legal entities which could be sold separately.
Demergers can also be used as a means to allow estranged shareholders to part company, each taking part of the business with them to develop on their own.
Working closely with your financial advisors, I can advise on the different routes available to achieve your objectives and get you the result that works for you. This could include, for example, a share buy-back, capital reduction, share for share exchange or bonus issue of shares depending on the circumstances and your objectives. |
